1. Acceptance of Terms of Use

1.1 Introduction

These terms and conditions, together with any documents they expressly incorporate by reference (collectively, these “Terms”) govern your access and use of the website: www.a-impactfund.com as well as any other affiliated sites, digital services, or applications on which a link to these Terms appears (collectively, the “A-Impact Website”). The A-Impact Website is owned and/or controlled by A-Impact SA SICAF-RAIF (“Fund” or “we” or “our” or “us”) and managed by A-Impact Advisors SA (“Advisor”). All reference to “you” or “your” or “User”, as applicable, mean a user and/or the person who accesses, uses and/or participates in A-Impact Website in any manner, and such person’s heirs, assigns, and successors. If you use the A-Impact Website on behalf of an entity, “you” or “your,” as applicable, means that entity and its affiliates and their respective directors, officers, employees, and agents.

1.2 Acceptance of these Terms

BY ACCESSING OR USING THE A-IMPACT WEBSITE, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS ON YOUR OWN BEHALF AND ON BEHALF OF ANY ORGANIZATION YOU REPRESENT. IF YOU DO NOT AGREE TO THESE TERMS (OR ANY UPDATES TO OR MODIFIED VERSIONS THEREOF), YOU SHOULD DISCONTINUE USE OF A-IMPACT WEBSITE IMMEDIATELY.

1.3 Your duty to regularly review these Terms

Your use of A-Impact Website is governed by the version of the Terms in effect on the date A-Impact Website is accessed by you. These Terms of Use as well as the information and materials contained in the A-Impact Website may be modified at any time and from time to time, without notice. We may add features to or remove features from the A-Impact Website at any time and from time to time in our sole discretion. Continued access to the A-Impact Website following any modification in these Terms of Use will constitute your acceptance of the Terms of Use as modified. You should review the most current version of these Terms by regularly visiting A-Impact Website and clicking on the Terms hyperlink.

2. No offer, no advice

2.1 General Information Only

Any materials, information, products, data, services, tools, documents and newsletters published, distributed or otherwise made available on and/or related to the A-Impact Website (“Content”) is published for information purposes, for your non-commercial, personal use only and it is subject to change at any time without notice. Any Content does not constitute a solicitation, an offer, or a recommendation to buy or sell any investment or financial instruments, to affect any transactions, or to conclude any legal act of any kind whatsoever.

2.2 Not Investment Advice

Any Content shall not constitute investment, financial, legal, accounting or tax advice, or a representation that any investment or strategy is suitable or appropriate for individual circumstances, or otherwise constitutes a personal recommendation for any specific investor. No representation or warranty, either express or implied, is provided in relation to the accuracy, completeness or reliability of the materials or Content. The Fund and the Advisor are not under any obligation to update or keep current the information contained herein nor to remove any outdated information from the A-Impact Website or to expressly mark it as being outdated.

2.3 Professional Investors Only

The Fund is an alternative investment fund under the form of a Reserved Alternative Investment Fund (RAIF) established under Luxembourg law. Information on the A-Impact Website is directed solely at professional investors as defined in Directive 2014/65/EU (MiFID II) in the European Economic Area, or qualified investors as defined by applicable laws in the relevant jurisdictions where the Fund is passported. If you are not a professional investor or qualified investor as defined by the laws of your jurisdiction, you should not access this website.

2.4 Marketing Restrictions

The distribution of information about the Fund is restricted by law in certain jurisdictions. The information on this website does not constitute an offer or solicitation in any jurisdiction in which such distribution or offer is not authorized or to any person to whom it is unlawful to make such an offer or solicitation. It is your responsibility to be aware of and to observe all applicable laws and regulations of any relevant jurisdiction.

3. No Warranty

The use of the A-Impact Website is at your own risk. The A-Impact Website, together with all Content contained therein, is provided “as is” and “as available”, without any representations or warranties of any kind. Any materials, information or content accessed, downloaded or otherwise obtained through the use of the A-Impact Website is done at your own risk and the Fund and the Investment Advisor are not responsible for any damage to your computer systems or loss of data that results from the download of such material. The Fund, the Advisor and their affiliates expressly disclaim all representations or warranties of any kind, whether express or implied, with respect to the A-Impact Website, and all Content, materials, information and functionalities contained herein, including but not limited to warranties of title, non-infringement, merchantability or fitness for a particular purpose. Without limiting the foregoing, neither the Fund nor the Advisor warrant the accuracy, timeliness, completeness, security, reliability or availability of the A-Impact Website or the information or results obtained from use of the A-Impact Website, or that the A-Impact Website will be available at all times or is virus-free or error-free.

4. No Liability

TO THE MAXIMUM EXTENT PERMITTED BY CURRENT LAWS AND/OR REGULATIONS, THE FUND, THE ADVISOR, INCLUDING THEIR RESPECTIVE DIRECTORS, OFFICERS, AGENTS, EMPLOYEES, SUB-CONTRACTORS, SERVICE PROVIDERS AND SALES PARTNERS DISCLAIM ANY AND ALL LIABILITY FOR LOSSES OR DAMAGES (DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL) OF ANY KIND WHATSOEVER ARISING DIRECTLY OR INDIRECTLY AS A RESULT OF (1) THE CONTENT, ACCURACY, COMPLETENESS OR OTHERWISE OF THE CONTENT OR ANY LINKS TO THE THIRD-PARTY WEBSITES OR ANY THIRD-PARTY CONTENT; (2) ANY ERRORS IN OR OMISSIONS FROM THE A-IMPACT WEBSITE; (3) USE OF OR ACCESS TO THE A-IMPACT WEBSITE; (4) ANY INABILITY TO ACCESS OR USE THE A-IMPACT WEBSITE FOR ANY REASON.

You are solely responsible for acquiring and maintaining such electronic devices and equipment that can handle and will allow you to access and use the A-Impact Website and for taking adequate and appropriate data security measures in accordance with good industry practice to protect yourself against fraud or cyber-attacks on a continuous basis (e.g. by using the most recent browser versions, and installing recommended security patches and up-to-date anti-virus programs and firewalls). The Fund and the Advisor specifically disclaim all liability for any tampering with any User’s computer system by unauthorized parties, or for losses or liabilities suffered by any user arising from viruses or attacks by hackers.

TO THE FULL EXTENT PERMITTED BY CURRENT LAWS AND/OR REGULATIONS, THE FUND, THE ADVISOR INCLUDING THEIR RESPECTIVE DIRECTORS, OFFICERS, AGENTS, EMPLOYEES, SUB-CONTRACTORS, SERVICE PROVIDERS AND SALES PARTNERS SHALL NOT BE LIABLE FOR ANY (1) LOSS OF PROFITS OR REVENUE OR SAVINGS OR OTHER ECONOMIC LOSS, (2) LOSS OF BUSINESS OR GOODWILL, (3) LOSS OF OR DAMAGE TO DATA, (4) INCIDENTAL OR SPECIAL LOSS, (5) WASTED OR LOST MANAGEMENT TIME, OR (6) INDIRECT OR CONSEQUENTIAL LOSS ARISING FROM USE OF OR ACCESS TO THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF ANY SUCH LOSS OR DAMAGE OR IF SUCH LOSS OR DAMAGE WAS FORESEEABLE.

This disclaimer of liability applies to any and all damages or injury, including those caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft, destruction, or unauthorized access, whether for breach of contract, tortious behaviour, negligence or under any other cause of action.

5. Third-party content

The A-Impact Website Content may contain information obtained from third parties. The reproduction and distribution of third-party content in any form is prohibited with exception of prior written permission. Neither the Fund, the Advisor, nor the third-party content providers guarantee the accuracy, completeness or availability of any information and are not responsible for any errors or omissions for the results obtained from the use of such content.

6. Links to the third-party websites

The A-Impact Website may contain third party content or links to third party websites. These content and links are provided solely for your convenience and information. Using links to third-party websites provided on this Site is at your sole discretion and at your own risk. The Fund and the Advisor have no control over, do not assume any responsibility for and do not make any warranties or representations as to, any third-party content or websites, including but not limited to, the accuracy, subject matter, quality or timeliness. The Fund and the Advisor shall have no liability for third party content or websites or websites linking to or framing the A-Impact Website.

7. Social Bookmarks

The A-Impact Website may contain social bookmarks which are identifiable by means of their respective buttons. Social bookmarks allow users of certain social media platforms to post links to selected A-Impact web pages on their social media accounts in order to bookmark them or share them with their social media contacts. If you use social bookmarks, you will be sending personal identifying data to the respective social media platform. Any comments or activity made by or carried out by persons using social bookmarks is not controlled, endorsed or monitored by the Fund or the Advisor and they shall not be responsible or liable for such. Persons who share A-Impact communications via social bookmarks are not authorized to speak for or represent the Fund or the Investment Advisor and their views and opinions must be regarded as strictly their own and not those of the Fund or the Investment Advisor. In addition, the provisions in these Terms of Use relating to Links also apply to social bookmarks.

8. Proprietary Information

The Fund, the Advisor, or the applicable third-party owner, retains all right, title and interest (including copyrights, trademarks, patents, as well as any other intellectual property or other right) in all information and content (including all text, data, graphics and logos) on the A-Impact Website. Individual pages and/or sections of the A-Impact Website may be printed for personal or internal use only, and provided that such print outs retain all applicable copyright or other proprietary notices. All users must not, without limitation, modify, copy, transmit, distribute, display, perform, reproduce, publish, license, frame, create derivative works from, transfer or otherwise use in any other way, whether in whole or in part, any information, text, graphics, images, logos, video clips, directories, databases, listings or software obtained from the A-Impact Website for commercial or public purposes, without the prior written permission of the Fund or the Advisor.

Systematic retrieval of content from the A-Impact Website to create or compile, directly or indirectly, a collection, compilation, database or directory (whether through robots, spiders, automatic devices or manual processes) or creating links to the A-Impact Website without the prior written permission from the Fund or the Investment Advisor is strictly prohibited.

Nothing on the A-Impact Website is designed to grant any license or right to use any image, trademark or logo. No act of downloading or otherwise copying from the A-Impact Website will transfer any legal entitlement to any software or material on the A-Impact Website to the User. The Fund and the Investment Advisor reserve all intellectual property rights (such as copyright and trademark rights) to all material on A-Impact Website and will enforce such rights to the full extent of applicable law.

9. Newsletters and E-Mails

9.1 Newsletters

Every user may subscribe to a newsletter service and therefore agree to receive emails from us. The subscription to our newsletter service is not mandatory. The aim of A-Impact newsletter service is to strengthen the relationship with our Users, keep you updated about our latest developments, events, information related to our business, articles and external resources. Every User has the option to unsubscribe from our newsletter at any time by clicking the “unsubscribe” link provided in the email.

9.2 E-mails

The User shall be acknowledged that every e-mail may be easily accessible by third parties and may entail a considerable amount of danger and risk including: (a) lack of confidentiality (e-mails and their attachments can be read and/or monitored without detection); (b) manipulation or falsification of the sender’s address or of the e-mail’s (or attachment’s) content (e.g. changing the sender’s address(es) or details); (c) system outages and other transmission errors, which can cause e-mails and their attachments to be delayed, mutilated, misrouted and deleted; (d) viruses, worms, Trojan horses etc. may be spread undetected by third parties and may cause considerable damage; and (e) interception by third parties.

You are therefore recommended to communicate with the Fund or the Advisor by using a secure channel if such channel is provided. In no event should you use ordinary e-mail to transmit personal or confidential information such as any account related data.

Unless explicitly stated otherwise, the Fund and the Advisor do not accept any orders or instructions sent by e-mail or any other electronic messaging system.

The Fund and the Advisor shall not be liable to you or anybody else for any damages incurred in connection with any messages sent to them using ordinary e-mail or any other electronic messaging system. The provision 4 in this case is applicable.

10. Privacy Policy

The Fund and the Advisor have established a Privacy Policy, as modified from time to time, which explains how personal data is collected on the A-Impact Website and processed. The Privacy Policy is part of these Terms of Use and is incorporated herein by reference.

11. Severability Clause

To the extent that any provision of these Terms of Use is found by any competent court or authority to be invalid, unlawful or unenforceable in any jurisdiction, that provision shall be deemed to be severed from these Terms of Use but such finding shall not affect the validity, lawfulness or enforceability of the remainder of these Terms of Use in that jurisdiction, nor shall it affect the validity, lawfulness or enforceability of these Terms of Use in any other jurisdiction.

12. Conflict with Additional Terms

Certain web pages or areas on the A-Impact Website may contain additional terms, conditions, disclosures and disclaimers (collectively, the “Additional Terms”). In the event of a conflict between these Terms of Use and the Additional Terms, the Additional Terms will govern for those web pages or areas.

13. Luxembourg Law and RAIF-Specific Provisions

13.1 Governing Law

These Terms and your use of the A-Impact Website shall be governed by and construed in accordance with the laws of Luxembourg. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Luxembourg, Luxembourg.

13.2 RAIF Structure

A-Impact SA SICAF-RAIF is a Reserved Alternative Investment Fund (RAIF) established under Luxembourg law of 23 July 2016 on reserved alternative investment funds. As a RAIF, the Fund is reserved for well-informed investors as defined in Article 2 of the Luxembourg RAIF Law. The Fund is managed by an authorized Alternative Investment Fund Manager (AIFM) in accordance with Directive 2011/61/EU on Alternative Investment Fund Managers.

13.3 Passporting

The Fund has been passported for marketing to professional investors in certain EU Member States pursuant to Article 32 of Directive 2011/61/EU. Specific information regarding the availability of the Fund in a particular jurisdiction is available upon request. The local regulations of each jurisdiction where the Fund is passported may impose additional restrictions or requirements that supersede these Terms.

13.4 Professional Investors

In the European Economic Area, the Fund is available only to professional investors as defined in MiFID II. Professional investors are considered to have the experience, knowledge and expertise to make their own investment decisions and properly assess the risks involved. Natural persons may be treated as professional investors if they meet the criteria set out in MiFID II and other applicable laws.

13.5 No Public Offering

The Fund is not subject to supervision by the Luxembourg Commission de Surveillance du Secteur Financier (CSSF) or any other regulatory authority in the European Union. The Fund does not qualify as an undertaking for collective investment in transferable securities (UCITS) and is not subject to the protection rules that apply to retail investors in UCITS.

13.6 Risk Warning

Investment in the Fund involves significant risks, including the possible loss of the entire amount invested. The value of an investment in the Fund may go down as well as up, and investors may not get back the amount originally invested. Before investing in the Fund, prospective investors should carefully consider the risks involved and should only make an investment decision after consulting with independent professional advisors.
